Article 1 – Purpose of the GCS

The GCS express the entirety of the agreements between the Parties and cancel and replace any prior oral or written exchange or commitment between the Parties.

Any general terms and conditions of purchase of the Client, or any other document emanating from the latter, are not applicable in the relations between the Parties.

Article 2 – Acceptance and modification of the GCS

2.1. By checking the box or activating the "Accept General Terms and Conditions of Services" button when ordering a Badge in accordance with the terms defined in Articles 3.2 to 3.4 below, the Client acknowledges having read the terms of these GCS in their entirety and accepts them without reservation.

This acceptance is valid for the entire duration of the GCS, as provided in Article 11 below.

If the Client refuses to comply with the GCS, they waive access to the Exhibition and, where applicable, to the Platform.

2.2. The Client declares and guarantees to have the legal capacity to contract and, if representing another natural person, a company, or any other legal entity, to be authorized to act in the name and on behalf of that person, company, or entity.

2.3. The modification of contractual relations between the Parties can only be effective through the conclusion of a new contract between the Client and T4F SHOW.

2.4. The GCS may be modified by T4F SHOW at any time.

The Client will be notified by any dematerialized means, particularly by email, within a reasonable period before the new version of these GCS takes effect.

These new GCS will automatically apply between the Parties from their effective date.

Article 3 – Access to the Exhibition

3.1. Access to the Exhibition is reserved for persons (i) who act for purposes falling within the scope of their commercial, industrial, artisanal, liberal, or agricultural activity and (ii) who have acquired a Badge according to the conditions defined below in Articles 3.2 to 3.4.

Badges are personal and non-transferable.

3.2. Any person wishing to order a Badge, whether free or paid, must make a request by filling out the form accessible on the dedicated page of the Website.

In the event of acquiring a Badge from third-party resellers, particularly on the fly or via a website other than the Website, the provisions of Article 6.6 below will apply.

3.3. The order of a free Badge is, within the limits of available places, open only to natural persons exercising, or representing a legal entity exercising, professionally, a role within the finance department of a company or organisation (finance, accounting, management control, treasury, tax, internal audit, consolidation, financing), as assessed by T4F SHOW ("finance department").

It is specified that the free Badge will only be acquired by the Client after verification by T4F SHOW that the Client meets the criteria for granting this Badge.

T4F SHOW reserves the right to verify, by any means and at any time, that the person who acquired a free Badge meets the conditions stipulated in this Article 3.3. Otherwise, T4F SHOW may apply the provisions of Article 6.6 below. However, the Client may order a paid Badge under the conditions defined in Article 3.4 below.

3.4. The order of a paid Badge is, within the limits of available places, open only to natural persons exercising, or representing a legal entity exercising, professionally, an activity as service and/or software providers, or any other activity not covered by Article 3.3, in particular for finance departments.

The price of the paid Badge, indicated on the Website, is payable only in euros.

Payment for the paid Badge must be made according to the procedure proposed on the Website and is processed by the secure payment provider indicated at the time of the order (hereinafter the "Payment Provider"), a service provider of T4F SHOW.

Prior to the aforementioned payment, the Client acknowledges having read in their entirety the terms of use of the services and the privacy policy of the Payment Provider, available at the time of the order, and accepts them without reservation.

It is specified that the paid Badge will only be acquired by the purchaser on the date on which the latter receives confirmation of their order by email.

The invoice corresponding to the purchase of a paid Badge will be issued by T4F SHOW and communicated to the Client via email.

The Client has no right of withdrawal for their purchase of a paid Badge. Once the purchase is confirmed under the conditions defined in the preceding paragraph, it is firm and final, so no refund or exchange will be possible, for any reason whatsoever.

3.5. Access to conferences, sessions, and workshops organized at the Exhibition is open to all Badge holders, within the limits of available places, subject to cases where access is limited by specific conditions defined on the Website and/or the Platform or for reasons related to security or compliance with a health protocol.

Article 4 – Access to the Platform

4.1. Access to the Platform is reserved only for Clients holding a Badge, subject to their prior creation of a Client Account.

Each holder of a free Badge can create only one Client Account.

Access to the Platform and the Client Account is valid until the closing of the Exhibition and seven (7) days thereafter. From this date, the Platform will no longer be accessible by the Client and their Client Account will be deleted.

4.2. T4F SHOW cannot be held responsible for the temporary or permanent interruption of access to the Platform.

In particular, T4F SHOW cannot be held responsible for direct, indirect, or consequential damages resulting from the interruption of the Platform.

T4F SHOW cannot be held responsible for any damage to equipment, software, or data (e.g., viral contamination) suffered by the Client in connection with their use of the Platform, nor for any loss and/or alteration of data (regardless of the cause).

To avoid inconvenience as much as possible, the Client must ensure regular backups of their data.

Article 5 – Modification, cancellation, and postponement of the Exhibition

5.1. T4F SHOW may cancel and/or postpone the Exhibition if it finds an insufficient number of Exhibitors and/or Clients or for other reasons beyond its control.

5.2. The Client is informed and accepts that the organization of the Exhibition, in particular the venue, opening hours, format, and program of the Exhibition, as well as the speakers and themes of conferences, sessions, and workshops, may be discretionarily modified by T4F SHOW.

5.3. If the Exhibition is postponed to a new date, the Badges will remain valid for this date, subject to the Client retaining the confirmation of acquisition of their Badge.

The price of the paid Badge will not be refunded and no compensation will be paid by T4F SHOW to the Client in case of:

cancellation and/or postponement of the Exhibition;

modification of the organization of the Exhibition under the conditions provided in Article 5.2 above; or

inability of the Client to access the Exhibition due to illness (including positive COVID-19 test) or any other cause whatsoever (including contact with COVID-19).

Article 6 – Client's obligations and guarantees

6.1. The Client guarantees the accuracy of the information they provide to T4F SHOW on the Website and, where applicable, the Platform, and undertakes not to impersonate a third party.

6.2. The Client, holder of a free Badge, undertakes to use the Platform solely for the purposes of their participation in the Exhibition and in compliance with applicable national, European, and/or international laws and regulations. In particular, said Client undertakes not to:

alter or disrupt the integrity or performance of the Platform or the data contained therein; and

attempt to obtain unauthorized access to the Platform or associated systems or networks, or to intercept data therein.

6.3. The Client is required to comply, throughout the duration of the Exhibition, with the safety and/or health rules and instructions communicated to them by any means by T4F SHOW, its service provider in charge of security at the Exhibition venue, or the operator of said venue.

In particular, the Client is already informed of the following safety rules:

it is forbidden to introduce weapons, explosive, flammable, volatile substances, bottles, containers, sharp or blunt objects, and generally any dangerous object, banners, posters, leaflets, or other signs, of any nature whatsoever, of any size and format, of a political, ideological, religious, or other nature;

animals are under no circumstances allowed at the Exhibition venue, unless the Client has a disability, in which case they may be accompanied by an animal and/or an assistant.

6.4. The Client undertakes to submit to identity and personal effects checks that will be carried out at the entrance of the Exhibition by T4F SHOW, its service provider in charge of security at the Exhibition venue, or the operator of said venue.

6.5. The Client is required to maintain decent, professional, and appropriate behavior.

In particular, the Client is informed that the following are prohibited, in any form whatsoever: intimidating or harassing behavior, sending mass messages or calls, sending unsolicited recurring messages or calls, comments relating to sexual orientation, disability, physical appearance, race, age, religion, comments or sharing of obscene, threatening, abusive, violent, racist, insulting, defamatory, denigrating, misleading, discriminatory, harassing, pornographic content, comments or sharing of content justifying crimes against humanity, likely to incite racial, religious, or ethnic hatred, violence, or terrorism, promotion of any criminal or violent activity, inappropriate and unwanted contact, and behavior considered threatening.

The Client undertakes not to adopt any such behavior or make any such statements.

6.6. In case of violation by the Client of their obligations and/or guarantees stipulated in these GCS:

T4F SHOW may refuse the Client access to the Exhibition and, where applicable, to the Platform, or temporarily or permanently exclude the Client, subject to any damages T4F SHOW may claim; and

The defaulting Client will not be entitled to any compensation, nor, where applicable, to the refund of the price of their paid Badge.

Furthermore, if the Client's violation of their obligations and/or guarantees results, directly or indirectly, in damages caused to T4F SHOW or third parties, the Client will be solely responsible and must bear the financial consequences alone.

Article 7 – Force majeure

T4F SHOW cannot be held responsible for the non-performance or delay in the performance of its obligations stipulated in these GCS, which would be due to a force majeure event within the meaning of Article 1218 of the Civil Code affecting the holding of the Exhibition (such as, but not limited to, war, a decision by national or international authorities, a pandemic, a risk to the security, health, or safety of persons and/or property, destruction, a natural disaster, a strike, riots, etc.).

T4F SHOW will inform the Client as soon as possible and specify, as far as possible, whether the temporary force majeure event allows for a simple postponement of the Exhibition to a new date or leads to its cancellation, according to the terms defined in Article 5.3 above.

Article 8 – T4F SHOW's Liability

T4F SHOW will only be liable for direct damages suffered by the Client, which are proven to result from T4F SHOW's non-performance of its obligations.

However, T4F SHOW cannot under any circumstances be held responsible for:

Indirect damages, these being defined non-exhaustively as loss of operations (turnover, revenue, or profits), loss of opportunities, data, damage to image or reputation, commercial or economic prejudice, potential cessation of the Client's activity;

Direct or indirect damages due to the Client, a third party, or a case of force majeure; and

Direct or indirect damages in case of loss, theft, destruction, or deterioration of the Client's personal belongings.

Article 9 – Photographs and recordings at the Exhibition

9.1. The Client is authorized to take photographs and/or make audio or audiovisual recordings, during the Exhibition and in all non-private areas of the Exhibition (notably exhibition spaces, conference rooms, session or workshop rooms, and outdoor areas), for private use as well as on the official social media accounts of the entity to which they belong for the purpose of promoting their professional activity, to the exclusion of any other use. The Client will be responsible for obtaining authorizations regarding the personality rights of individuals whose image, voice, silhouette, etc., may be captured in these photographs or recordings and guarantees T4F SHOW against any recourse in this regard.

9.2. The Client is informed that photographs and/or audio or audiovisual recordings may be made, during the Exhibition and in all non-private areas of the Exhibition, by T4F SHOW, other Clients, exhibitors, and T4F SHOW's partners operating in the press and media sector.

In this context, the Client accepts that all or part of their image and/or voice may be reproduced in photographs, audio or audiovisual recordings, particularly in the context of interviews or testimonials (hereinafter collectively referred to as "Photographs and Recordings"), made by T4F SHOW, other Clients, exhibitors, and T4F SHOW's partners operating in the press and media sector.

The Client also accepts that the Photographs and Recordings may be used, published, and disseminated, on any medium, by any means and in any technical forms known or unknown to date, worldwide and for a period of twenty (20) years from the effective date of the GCS, by the following persons and for the destinations defined below:

T4F SHOW, for informational, presentation, or promotional purposes, in connection with the Exhibition, previous or future editions of the "TECH FOR FINANCE SHOW" exhibition, and more generally its activities;

other Clients, for private purposes;

exhibitors, for the purpose of promoting their activities;

T4F SHOW's partners operating in the press and media sector, for press purposes.

Article 10 – Personal Data

The performance of these GCS involves the processing by T4F SHOW of Personal Data concerning the Client.

T4F SHOW, as data controller, guarantees that these Personal Data are processed by it in accordance with the Personal Data Regulations.

10.1. Personal Data collected

The Personal Data processed by T4F SHOW are the following data, provided by the Client when ordering a Badge and, where applicable, when creating their Client Account:

Information about the Client's identity (their first names, last names, postal and email addresses, and mobile phone number);

Information about the Client's professional activity (their position, function held within the entity employing them, the name of this entity, their sector of activity); and

Information related to the Client's purchase of a paid Badge (data relating to the credit card used).

No sensitive personal data concerning the Client (religion, political opinions, health, trade union membership, sexual preferences, etc.) is collected.

10.2. Purposes of Personal Data processing

T4F SHOW processes the Client's Personal Data for the purpose of:

Managing its commercial relationship with the Client and notably allowing the organization of the Exhibition and the Client's access to said Exhibition and related services, the operation of the Platform and its use, where applicable, by the Client, as well as the purchase of a paid Badge, etc.;

Managing the connection between, on the one hand, Clients and, on the other hand, Exhibitors and other Clients;

Managing the presentation and promotion of the Exhibition, by T4F SHOW as well as its partners operating in the press and media sector;

Managing its commercial prospecting operations (and thus allowing the Client to receive, notably by email, postal mail, SMS, MMS, or telephone, news or offers concerning T4F SHOW's services and activities, including notably its upcoming events, promotional operations, etc.);

Offering the Client surveys and polls on T4F SHOW's services and activities;

Notifying the Client of any modifications to the GCS;

Managing the Client's requests to exercise their rights referred to in Article 10.8 below;

Managing any disputes;

Ensuring anti-fraud operations.

10.3. Legal bases for Personal Data processing

The processing of Personal Data is generally based on T4F SHOW's legitimate interest in executing, improving, and optimizing commercial relations with its clients.

It may also be based on the performance of these GCS.

Finally, certain processing operations are based on T4F SHOW's legal obligations.

10.4. Recipients of Personal Data

The recipients of Personal Data are:

Authorized personnel of T4F SHOW's Marketing, Commercial, and Administrative departments, as well as the hierarchical managers of said departments;

Authorized personnel of T4F SHOW's control departments (auditors, departments in charge of internal control procedures, etc.);

Authorized personnel of T4F SHOW's subcontractors, and any person involved in the performance of these GCS (for example, the Payment Provider, the company INFINITE SQUARE, the service provider in charge of security at the Exhibition venue, or the operator of said venue);

Organizations, judicial auxiliaries, ministerial officers, and judicial and administrative authorities, under the conditions provided by law; and

Any authorized person, when T4F SHOW is obliged to disclose and/or share Personal Data in order to fulfill its legal obligations.

Furthermore, Personal Data (with the exception of data relating to the payment method used) may be transmitted to the authorized personnel of Exhibitors, other Clients, and T4F SHOW's partners operating in the press and media sector, particularly for contact and commercial prospecting purposes.

This transfer of Personal Data to the authorized personnel of Exhibitors, other Clients, and partners may be carried out in the following three cases:

When the Client visits an Exhibitor's stand and the Exhibitor scans or flashes the QR-Code that was given to the Client by T4F SHOW when the Client registered for the Exhibition;

When the Client participates in a conference organized by an Exhibitor or a partner within the framework of the Exhibition and the authorized personnel scans or flashes the aforementioned QR-Code upon their entry into the conference;

Upon confirmation of an individual appointment between the Client and another participant in the Exhibition, using the same process.

The use of the Client's personal data by Exhibitors, other Clients, and T4F SHOW's partners operating in the press and media sector is carried out under their responsibility and governed, consequently, by their own privacy policy.

10.5. Locations of Personal Data processing

Personal Data is hosted and processed within the European Union.

When T4F SHOW's relations with subcontractors involve cross-border exchanges of Personal Data outside the European Union, the Client consents to these being processed outside the European Union, it being specified that, in this case, T4F SHOW ensures that the subcontractors have provided adequate measures in accordance with the Personal Data Regulations.

10.6. Methods of protection and retention of Personal Data by T4F SHOW

T4F SHOW implements appropriate technical and organizational measures, including physical, material, and software measures, to preserve the security, integrity, and confidentiality of Personal Data, and to protect them against any unauthorized access, use, misappropriation, modification, disclosure, or destruction.

T4F SHOW also requires its subcontractors to provide sufficient guarantees regarding the security and confidentiality of the Personal Data transmitted to them.

10.7. Duration of Personal Data retention by T4F SHOW

Personal Data relating to T4F SHOW's management of its commercial prospecting operations:

T4F SHOW may retain this Data for a maximum period of three (3) years from the end of the commercial relationship (i.e., from the date of termination of the GCS or, if more recent, the date of the last contact from the Client).

At the end of this period, T4F SHOW will contact the Client to ascertain whether they wish to continue receiving commercial solicitations.

In the absence of a positive response from the Client, T4F SHOW undertakes to delete or archive the Personal Data.

Personal Data relating to the management of opt-out lists for commercial prospecting:

If the Client exercises their right to object to receiving commercial prospecting, the information allowing their opt-out right to be taken into account will be retained for a minimum of three (3) years from the exercise of this right.

Personal Data relating to other processing purposes:

T4F SHOW will not retain them beyond the period strictly necessary for the management of the commercial relationship. However, they may be retained for aggregated analysis or statistical purposes, for a period exceeding the aforementioned period, after having been irreversibly anonymized.

By way of exception to the foregoing, the Client's data relating to the credit card used, where applicable, by the latter for the payment of the paid Badge, may be retained by T4F SHOW for a longer period than that mentioned above, according to the terms defined below.

The number of the credit card used as well as its validity date may be retained, as proof in case of transaction dispute, for a period of thirteen (13) months following the debit date or fifteen (15) months if it is a deferred debit card.

Nevertheless, if the Client expressly consents, T4F SHOW may retain the aforementioned credit card data for a longer period, for example, to facilitate the Client's payment for subsequent purchases. In any event, the Client may withdraw this consent at any time.

Data relating to the visual cryptogram of the credit card will not be retained beyond the time necessary for the payment of the paid Badge, including in the event of retention of the credit card number and validity date for subsequent purchases.

In any event, if the credit card expiration date is reached, the data relating thereto will be deleted.

It is specified, however, that the Payment Provider may retain credit card data for longer periods than those mentioned above, in accordance with its privacy policy.

10.8. Client's rights regarding the processing of their Personal Data

The Client has, with regard to the processing of their Personal Data, a right of access, objection, rectification, erasure, and restriction.

It is specified that they can obtain the erasure of their Personal Data unless they are necessary for T4F SHOW to comply with its legal obligations or for the establishment, exercise, or defense of legal claims.

The Client also has the right to data portability of their Personal Data, the right to communicate to T4F SHOW directives that define how they wish their Personal Data to be processed after their death (by indicating, for example, to T4F SHOW whether they wish them to be retained, erased, or communicated to a designated third party) and the right to withdraw their consent to the processing of their Personal Data (if the processing carried out is based on their consent).

Finally, the Client may assert their right not to be subject to a decision based solely on automated processing (such as profiling, for example) producing legal effects concerning them or significantly affecting them.

The Client has the right to lodge a complaint with a supervisory authority regarding the processing of their Personal Data (such as the CNIL).

All the aforementioned rights may be exercised:

By the Client;

By the holder(s) of parental authority, if the Client is a minor;

By their legal representative, if the Client is subject to a guardianship measure;

By the Client's heirs.

These persons will then be the recipients of the information resulting from the exercise of these rights.

These rights are exercised by submitting the request to T4F SHOW:

By email to the address: admin@techforfinanceshow.com;

By postal mail to the address: T4F SHOW, 25 rue de Ponthieu, 75008 PARIS.

To access the aforementioned request, T4F SHOW will need to know the identity of the applicant and the address to which the response should be sent.

T4F SHOW may therefore request a copy of one of the applicant's identity documents bearing their signature. T4F SHOW will only retain this copy for the time necessary to process the request.

The request does not need to be justified, except in the case of exercising the right to object. Indeed, in this hypothesis, the existence of a legitimate reason must be justified, except in cases where the Personal Data concerned are processed for prospecting purposes, particularly commercial.

Article 11 – Duration of the GCS

These GCS take effect on the date of sending the email confirming the acquisition of the Badge to the Client and will cease on the closing date of the Exhibition.

By way of exception to the foregoing, the authorization granted by the Client in Article 9.2 above and the confidentiality obligation stipulated in Article 13 below will continue beyond the termination of the GCS, regardless of the cause, for the duration stipulated in said articles.

Article 12 – Termination

12.1. Without prejudice to Article 6.6 above, any breach by one of the Parties of one or more of the obligations stipulated in this Contract authorizes the other to terminate it automatically and immediately if the defaulting Party does not remedy said breach within fifteen (15) days after receipt of a formal notice sent by registered letter with acknowledgment of receipt, subject to any damages the injured Party may claim.

Article 13 – Confidentiality

Within the framework of the performance of these GCS, each of the Parties will preserve the confidentiality of all information and data of any nature whatsoever, written or oral, that has been transmitted to it by the other Party or of which it may have become aware during the contractual relationship, and will only use them to exercise its rights and obligations under these terms.

The confidentiality obligations of the Parties will remain in force throughout the duration of the GCS and for two (2) years after its expiration, regardless of the cause.

Article 14 – General Provisions

14.1. Independence of the Parties

The Parties acknowledge and agree that they cannot under any circumstances make a commitment in the name and/or on behalf of each other.

The Parties acknowledge and agree that they act in complete independence from each other and that these GCS cannot under any circumstances be considered as establishing between the Parties a de facto company, a joint venture, or any other situation entailing between them any reciprocal representation or solidarity with regard to their respective creditors.

14.2. Autonomy of provisions

If any provision of the GCS were to be declared null or inapplicable, in light of a rule of law in force or a final judicial decision, it will be deemed unwritten.

The other provisions of these GCS will remain in force, retaining their full force and scope, as far as possible, the Parties undertaking, as necessary, to come together to replace the void clause with a valid clause, as close as possible, in its spirit, to the one it is intended to replace.

14.3. Non-waiver

The fact that one or the other of the Parties does not claim the application of any of the provisions of the GCS or accepts its non-performance, whether permanently or temporarily, cannot be interpreted as a waiver by that Party of its rights hereunder and will not constitute such a waiver, will not in any way affect the validity of all or part of these GCS, and will not prejudice the Party's right to act accordingly.

14.4. Applicable law and competent jurisdiction

The validity, interpretation, execution, or termination of the GCS and their potential consequences are governed by French law and interpreted in accordance therewith.

In case of a dispute between the Parties, T4F SHOW and the Client will make their best efforts to resolve the dispute amicably within a maximum period of sixty (60) days from the receipt of a written notification from one of the Parties.

The resolution of any dispute or disagreement, relating to the validity, interpretation, execution, or termination of the GCS and their potential consequences, will be submitted to the exclusive jurisdiction of the courts within the jurisdiction of the Paris Court of Appeal, even in the event of summary proceedings, incidental claims, third-party proceedings, or multiple defendants.
